Standard Procedure:

  1. Please send us your inquiry by e-mail showing name of commodity, buyer’s country, designated unloading port, quantity, price term, target price, payment terms and conditions, etc.
  2. Upon receiving above inquiry, ACE Japan will select suitable supplier / seller and present Soft Corporate Offer (SCO) of the seller.
  3. If the conditions stated in SCO is acceptable, please present the Letter of Intent (LOI) of the buyer.
  4. Upon receiving LOI, ACE Japan will arrange and present Firm Corporate Offer (FCO) to the buyer.
  5. Upon receiving FCO, the buyer is requested to issue Irrevocable Corporate Purchase Order (ICPO) to the Seller.
  6. Upon receiving ICPO, the seller will present to the buyer a draft Sale Purchase Agreement (SPA) open for amendment accordingly.
  7. If the conditions stated in SPA is agreed by both parties, the SPA will be concluded.
  8. Irrevocable Master Fee Protection Agreement (IMFPA) will be concluded among intermediaries and the seller at the same time.
  9. Transaction will be commenced.
